| John Macdonald was appointed President and Chief Executive Officer of The Consumers’ Waterheater Income Fund in November 2006. Prior to joining the Fund Mr. Macdonald was President and Chief Executive officer of Hydro One Telecom Inc., and grew the company from a concept to the largest utility-based telecom company in Canada. Prior to this, Mr. Macdonald was President of ShareTel and has also held senior marketing positions at AT&T Canada and Nortel.
John is a registered professional engineer with a B.A. Sc in Electrical Engineering from the University of Toronto. |

| Steve Bower was appointed Chief Financial Officer of The Consumers’ Waterheater Income Fund in December 2007. Prior to joining the Fund Mr. Bower was the Chief Financial Officer at Wi-LAN Inc. Steve has performed in senior financial and operating roles with Petro-Canada, BCE and Nortel, companies listed on both the Toronto Stock Exchange and New York Stock Exchange, from 1981 to 1998. He was CFO of SiGe Semiconductor, a quickly growing private company, from 1999 to 2005. Steve has been a member of the Board of Financial Executives International – Canada (FEI) since 2005, and was elected a fellow (FCA) by the Institute of Chartered Accountants of Ontario in 2006 in recognition of his outstanding contribution to the profession. |

| Mr. Toffoletto was appointed Senior Vice President, General Counsel and Corporate Secretary for the Fund and each of its subsidiaries in January 2009. Before joining the Fund Mr. Toffoletto worked at one of Canada’s preeminent corporate law firms, Torys LLP, where he played a significant role in the Fund’s formation in 2002 and its subsequent legal affairs, including financings, acquisitions and commercial arrangements. Mr. Toffoletto has also acted for some of Canada's leading public companies, pension funds and financial institutions. John has a Bachelor of Arts Honours Degree (with High Distinction) from the University of Toronto and a Bachelor of Laws Degree (with Honours) from the Faculty of Law, University of Toronto. |

| Mr. Cooper was appointed Vice President, Sales & Marketing of The Consumers’ Waterheater Income Fund in June 2009. Mr. Cooper has over 25 years of experience in the HVAC and energy services industry. Prior to joining the Fund, Mr. Cooper held senior operating positions at Direct Energy Marketing Limited and Enbridge. For the last three years he has run a consulting practice focused on business improvement strategies. |
